New York Limited Liability Company LAW § 206 - Affidavits of publication
Choosing a Limited Liability Company, or LLC, provides limited liability to its owners, which means that any liability created by the company is limited to the company. The owners’ personal assets are protected from all claims against the company. Forming an LLC or operating a foreign LLC in New York State requires an additional step that is often overlooked. N.Y Limited. Liability Company Law § 206 - Affidavits of publication requires a LLC within 120 days after the filing of its initial articles of organization to publish a notice for six successive weeks in two newspapers of the county in which the office of the LLC is located. One newspaper needs to be printed daily and the other needs to be printed weekly. After the publishing of the notices the LLC needs to file for a certificate of publication, with a $50 filing fee, with the Department of State. Failure to comply with this requirement will result in the authority of the Limited Liability Company to carry on, conduct or transact business to be suspended.
This additional step for forming an LLC takes a substantial amount of time to complete and can be a sizable expense. Publishing a notice in two newspapers is expensive and can be a hassle finding the authorized newspapers to publish your notices. The publishing requirements themselves can be difficult to understand and if incomplete or improperly prepared the state won’t issue a certificate of publication and you would be forced to rerun the notices all at your expense.
