Instant LLC

For clients short on time, we’re happy to provide LLCs that are already properly formed and published. We transfer ownership to the new members, so they can move ahead without having to wait on paperwork to be filed. Our Instant LLC service lets you choose a new name for your LLC, and also gives you the ability to update new members’ information.

$395 Flat Rate Publishing

In order to publish your LLC at the lowest rate possible, we leverage the State’s Limited Liability Laws and filing requirements. By maintaining multiple offices throughout New York State, we’re able to publish your legal notices in counties with fair rates, all while adhering to the State’s filing requirements.

Expedited Service

For clients nearing the 120-day publishing deadline, or for those who want to have the process completed as quickly as possible, we offer an expedited service. By paying a fee to the Department of Corporations, we can file and return your paperwork within one business day, instead of the typical two to four weeks.

What is the New York State Publication Requirement?

The General Idea: New York State requires limited liability companies to do three things. First, the LLC must prepare a legal notice containing information about their business. Second, they need to run that legal notice in two different newspapers within 120 days of formation. And finally, once finished running, the notices and a certificate need to be filed with the state. Once these steps are done the requirements are complete.

The Specifics: All limited liability companies, LLCs, Limited Partnerships, LPs, Limited Liability Partnerships, LLPs, and Professional Limited Liability Companies, PLLCs, must complete the NYS Department of Corporations publication requirement. The requirement also applies to LLCs which are formed outside of NYS but choose to conduct business within the State.

Why do Publishing costs vary so much?

Unless you choose our $395 Flat Rate Publishing, you must file in the county where your LLC was formed. Remember, it’s part of the State’s legal requirements that your legal notices be run in two different newspapers. Because newspapers will vary by county, their prices vary as well. The rate per county that we charge is based on the cheapest papers we can use within each county.

What if you haven’t completed the publication requirement within the 120-day time period?

The State requires that the publication requirement is completed within 120 days of the LLC’s formation. Entities that fail to comply faces having their authority to canny on, conduct or transact any business suspended.

It’s worth noting that even if you haven’t completed or started the publication process after the 120-day period, you still have to follow the same steps. Once completed any suspension would be lifted.

Can you keep track of your legal notices?

If you’re interested in viewing your legal notices just send us an e-mail and we’ll provide you with the newspaper names and the specific run dates. Once your legal notices complete their six-week printing schedule, we will upload onto your client portal the affidavit of publication from both papers substantiating that your legal notices ran.

Foreign LLCs

What if you have an out of state LLC (foreign LLC) and want to conduct business in New York?

If you want to conduct business in New York State, but you formed your LLC out of state, you’ll have to file a Certificate of Authority. Following this, you’ll then be required to complete the publication requirement.

Employer Identification Number (EIN)

An EIN is how the IRS identifies business ntities. If you plan on operating as a sole proprietorship, then you don’t need to obtain an EIN. You can use your social security number. However, banks may require you to have an EIN in order to open a business account.
